Terms of Service

1. Beta Notice and Disclaimer of Warranties

The service is provided "AS IS" and "AS AVAILABLE" during the Beta period. No warranties of accuracy, availability, or fitness for any purpose are granted. DigiContas does not replace professional accounting or tax advice. The user acknowledges that the system is under active development and may contain errors. Cloud Ingenium reserves the right to modify, suspend, or discontinue the service at any time.

2. Data Use and Analytics Rights

The user grants Cloud Ingenium a worldwide, non-exclusive, royalty-free, and perpetual license to:

  • Use, process, store, and analyze uploaded fiscal data
  • Create anonymized and aggregated datasets by combining data from multiple users (minimum 5 companies per aggregate)
  • Generate industry benchmarks, trend reports, and statistical analyses
  • Use aggregated information for product improvement, research, and commercial purposes
  • Share anonymous aggregated data with third parties

Individual company data is NEVER shared or sold to third parties. Cloud Ingenium does not sell or share identifiable user data.

3. Intellectual Property and User Suggestions

All feedback, suggestions, feature requests, bug reports, and ideas submitted by users become the exclusive property of Cloud Ingenium Corp. The user waives all moral rights and claims over submitted ideas. Cloud Ingenium may implement, modify, or discard any suggestion without obligation or compensation. The platform, algorithms, analytical models, and aggregated datasets are the property of Cloud Ingenium.

4. Data Collection and Tracking

Cloud Ingenium collects usage analytics: pages visited, features used, time spent, clicks, and searches. This information is used to improve the product and user experience. Cookies and tracking technologies are used (Panama jurisdiction, not GDPR). The user consents to all data collection by using the service.

5. Security and Data Protection

Cloud Ingenium is committed to industry-standard security measures:

  • Encryption at rest (AES-256) and in transit (TLS 1.3)
  • Mandatory multi-factor authentication for fiscal data access
  • Tenant isolation — no cross-company data access
  • Regular security audits and penetration testing
  • Incident notification within 72 hours of a confirmed breach

FIEL certificates are stored encrypted with user-specific keys. Uploaded XMLs are processed and removed from temporary storage within 24 hours. Access logs are retained for 1 year for security audit purposes.

6. Limitation of Liability

Cloud Ingenium's total liability is limited to fees paid in the last 12 months. There is no liability for: indirect, consequential, or incidental damages; tax penalties, late or incorrect filings based on our data; data loss due to user error, SAT system changes, or force majeure. The user is solely responsible for verifying the accuracy of data before filing with tax authorities.

7. Account and Access

The user is responsible for maintaining the security of their account. Sharing credentials is prohibited. Cloud Ingenium may suspend accounts suspected of misuse. The super administrator (jcarlos@tpu.mx) has access to the entire platform for support and administration.

8. Governing Law and Jurisdiction

Governed by the laws of the Republic of Panama. Disputes shall be resolved in the courts of Panama City, Panama. The user waives the right to class action lawsuits. Arbitration clause for disputes under $50,000 USD.

9. Data Retention

Cloud Ingenium retains ALL uploaded and processed fiscal data indefinitely. The user grants a perpetual and irrevocable license for data retention even after account termination. Upon closing an account, the user loses access but data is retained for: aggregated analytics and industry benchmarks, product improvement and machine learning, legal compliance and auditing, historical trend analysis. The user may request a data export (CSV/JSON) before closing their account. Cloud Ingenium is NOT obligated to delete data upon termination (Panama law permits this).

10. Termination

Either party may terminate at any time. Upon termination, the user loses access within 24 hours. Data is retained per Section 9. Pro subscription: no refunds for partial months.
